for Ordering, Purchase, and Delivery of Goods or Services

This agreement is an official and public offer of the Seller {{ ___Company / Sole Proprietor Name___ }} to enter into a contract for the purchase and sale of Goods or Services presented on the website {{ ___Website URL___ }}. This agreement is public, and in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status. By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing an order, payment, delivery, return of goods, and other terms of the agreement. The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the order checkout page and receives an electronic confirmation of the order.

1. Definitions

1.1. Public Offer (hereinafter referred to as the “Offer”) – a public proposal of the Seller {{ ___Company / Sole Proprietor Name___ }}, addressed to an indefinite number of persons, to conclude a remote purchase and sale agreement under the terms set forth in this Offer.

1.2. Goods or Services – the subject of the agreement between the parties, selected by the Buyer on the Online Store website and added to the shopping cart.

1.3. Online Store – the Seller’s website located at {{ ___Website URL___ }}, created for concluding retail and wholesale purchase and sale agreements.

1.4. Buyer – a legally capable individual or legal entity placing an order for the purchase of goods or services.

1.5. Seller – {{ ___Company / Sole Proprietor Name___ }}, a legal entity duly established and operating in accordance with the legislation of Ukraine, registered address: {{ ___Seller Legal Address___ }}.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods or Services to the Buyer, and the Buyer undertakes to pay for and accept the Goods or Services under the terms of this Agreement.

2.2. The date of conclusion of the Offer Agreement shall be the date on which the Buyer completes the order form posted on the Online Store website, provided that the order confirmation is received.

3. Order Placement

3.1. The Buyer independently places an order via the “Cart” form, or via email or phone number specified in the contact section.

3.2. The Seller has the right to refuse to fulfill the order if the information provided by the Buyer is incomplete or raises suspicion.

3.3. When placing an order, the Buyer undertakes to provide the following mandatory information:

  • 3.3.1. Buyer’s last name and first name;
  • 3.3.2. Delivery address (if required);
  • 3.3.3. Contact details (email, phone number);

4. Price and Delivery of Goods

4.1. Prices for Goods and Services are determined by the Seller and are indicated on the Online Store website in Ukrainian hryvnias.

4.2. The Seller may change prices unilaterally.

4.3. Delivery costs are paid by the Buyer in accordance with the tariffs of the delivery service providers.

5. Rights and Obligations of the Parties

5.1. The Seller undertakes to transfer the Goods to the Buyer in accordance with the terms of the Agreement.

5.2. The Seller has the right to change the terms of this Agreement, as well as prices for Goods and Services, unilaterally by publishing such changes on the Online Store website. All changes take effect immediately upon publication.

5.3. The Buyer undertakes to provide the Seller with all necessary information required to fulfill the order.

6. Return of Goods

6.1. The Buyer has the right to return goods of proper quality within 14 days, provided that the goods have not been used and their commercial appearance has been preserved.

7. Liability

7.1. The Seller shall not be liable for damage caused by improper use of the Goods.

8. Confidentiality and Personal Data Protection

8.1. The Buyer gives the Seller voluntary consent to the processing of their personal data without limitation of the consent validity period.

9. Other Terms

9.1. This Agreement is concluded within the territory of Ukraine and is governed by the current legislation of Ukraine.

9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. If no agreement is reached, the Buyer and/or the Seller has the right to apply to the competent courts in accordance with the current legislation of Ukraine.
